Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Centricom service, including the Centry AI assistant accessible via Zalo Official Account and the web application at centricom-web.vercel.app (collectively, the “Service”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

• You must be at least 16 years old and have legal capacity to enter into a binding agreement.
• You are responsible for keeping your account credentials secure and for all activity under your account.
• You must provide accurate information when creating or updating your account.

2. The Service

Centry helps individuals and teams capture work, coordinate accountability, and surface decisions through conversation. Features include task management, project organization, the Pulse coordination layer, scheduled reminders, and (when you choose to connect them) integrations with third-party services such as Google Calendar.

We may add, change, or remove features at any time. We will give reasonable notice for material changes.

3. Acceptable use

You agree not to:

• Use the Service for any unlawful, harmful, or abusive purpose.
• Attempt to access another user’s account or data without permission.
• Reverse engineer, decompile, or attempt to extract the source code of the Service except as permitted by applicable law.
• Interfere with the Service’s operation, including by sending excessive requests or attempting to overload our infrastructure.
• Use the Service to send spam, phishing messages, or unsolicited commercial communications.
• Upload or transmit content that infringes intellectual property or violates privacy rights of others.

4. Your content

You retain ownership of the content you submit to the Service (messages, tasks, files, project information). You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process your content solely to provide and improve the Service.

You are responsible for the content you submit. You represent that you have the right to submit it and that it does not violate the rights of any third party.

5. Third-party services

The Service may integrate with third-party services such as Zalo and Google. Your use of those services is governed by their own terms and privacy policies. When you connect a third-party account to Centry, you authorize Centry to access information from that service as described in our Privacy Policy.

You may revoke any connected service’s access at any time. Revoking access may cause some features to stop working.

6. Subscription and fees

Some features of the Service may require a paid subscription. Subscription fees, billing cycles, and refund terms will be presented before you commit to a paid plan. Free tiers may have usage limits that we may adjust over time.

7. AI-generated content

The Centry assistant generates suggestions, summaries, drafts, and actions using AI models. AI output may be incorrect, incomplete, or inappropriate. You are responsible for reviewing AI output before relying on it for business decisions, particularly for messages sent on your behalf, calendar events created, or tasks assigned to others. We are not liable for actions you take based on AI output.

8. Suspension and termination

We may suspend or terminate your access to the Service if you violate these Terms, if your account poses a security or legal risk, or for extended inactivity. You may stop using the Service at any time and may request account deletion as described in the Privacy Policy.

9. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI output will be accurate.

10. Limitation of liability

To the maximum extent permitted by law, Centricom and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising from the Service will not exceed the amount you paid us in the twelve months preceding the claim, or USD 100, whichever is greater.

11. Indemnification

You agree to indemnify and hold Centricom harmless from claims arising from your violation of these Terms, your misuse of the Service, or your violation of any third-party rights.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced through the Service or via email. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved in the courts of Ho Chi Minh City, Vietnam.
